ALLGEMEINE GESCHÄFTSBEDINGUNGEN

1. General
helloduesseldorf.com offers services in the areas of interpreting, translating, accommodation search, interaction with government agencies and other related services (“Relocation Services“) directly to the client or for employees of the client („Service Recipients“). These services are described in more detail in the indicative offer (“Contract“). The following terms and conditions (GTC) apply to all contractual relationships with helloduesseldorf.com as of 1 January 2019. By accepting one or more indicative offers and using the Relocation Services these terms and conditions shall be deemed as accepted.
2. Subject Matter of the Contract
The subject matter of the Contract are the Relocation Services as commissioned by the client according to the Scope of Services as selected and/or per separate agreement including the prices expressly agreed therein and, as the case may be, within the agreed time frame for providing the Relocation Services. The subject matter of the Contract expressly does not include advice on legal, tax and insurance affairs. helloduesseldorf.com does not act as a representative of the client or their employees in legal transactions that can trigger legal obligations, in particular payment and/or any other liability.
3. Indicative Offer and Coming into Effect
The Contract between helloduesseldorf.com and the client shall come into effect through the written acceptance of the indicative offer by the client. The nature, scope and price of the indicative offer submitted by helloduesseldorf.com shall remain non-binding until acceptance. Changes, additions and repeal of the Contract must be made in writing.
4. Prices and Payment of Compensation
The prices for the Relocation Services are, unless otherwise stipulated, described in the Scope of Services, which forms an integral part of the Contract and is subject to this. The prices include, unless otherwise agreed, telephone and fax costs within Germany as well as costs for postal services. Individual expenses, such as fuel costs, international telecommunication costs, office fees and administration costs are to be paid separately against invoice. All prices are exclusive of the statutory VAT at the time of conclusion of the Contract. All prices apply to the performance of Relocation Services within the opening hours of helloduesseldorf.com (see section 11).
5. Payment
The fee is calculated on the basis of the package prices selected from the Scope of Services. Of this, 50% is due upon the acceptance of the indicative offer. The remaining 50% as well as further, non-flat-rate remuneration shall be due for payment after invoicing. An exception to this is the removal; in this case, the remaining remuneration claim shall be due 5 working days prior to handing over the apartment. helloduesseldorf.com will not commence any performance of the Relocation Services until the payment owed at the time of the acceptance of the indicative offer has been received. If the client is in default of payment, then helloduesseldorf.com is entitled to default interest of 5% above the base rate. helloduesseldorf.com reserves the right to claim further damages. If the client defaults on a payment obligation or fails to fulfill any other of their obligations, the entire payment due up to that date shall be due for payment without any further reminder. All other expenses incurred in connection with the collection of overdue receivables by helloduesseldorf.com shall be borne by the client. This balance is payable within 5 working days from the invoice date. The remuneration claim of helloduesseldorf.com towards the client is independent of other claims. This applies in particular to claims arising as a result of the client’s or service recipient’s own activities. Additional services provided by helloduesseldorf.com after the end of the Contract shall be remunerated by the client separately according to time and expenses or according to an agreed fixed fee. helloduesseldorf.com shall issue a separate invoice for these services.
6. Client’s Duties
The client undertakes to ensure comprehensive and efficient cooperation between helloduesseldorf.com and the service recipient, so that helloduesseldorf.com can provide the Relocation Services within the contractually agreed scope and within the agreed deadlines. The client undertakes to procure all information and documents as are necessary for the provision of services by helloduesseldorf.com at their own expense and to provide them to helloduesseldorf.com in good time. As of conclusion of the Contract the client undertakes to inform helloduesseldorf.com of all other activities carried out or efforts made by them in connection with the Relocation Services and to align these with helloduesseldorf.com. The client undertakes to treat confidentially the information and documents made available to them by helloduesseldorf.com, to use them only for their own, order-related purposes and in particular not to make them available to any competitor of helloduesseldorf.com. Any unauthorized disclosure to third parties shall oblige the client to pay damages. The client undertakes to pay helloduesseldorf.com on time in accordance with the terms and conditions agreed herein and in the amount of the remuneration owed.
7.Duration, Termination, Termination Costs
The duration of the Contract results from the Scope of Services. The client may terminate the Contract at any time without observing a notice period. helloduesseldorf.com can terminate the contract only for cause. A justifiable cause for termination exists in particular if the client has violated their obligations in section 6 thereby making it impossible or significantly more difficult to fulfill their performance. With each premature termination of the contract helloduesseldorf.com is entitled to calculate a remuneration fee according to work progress. In particular, helloduesseldorf.com may demand the following compensation:
-25% of the agreed total compensation after commencement of activity with the client, but prior starting a property search.
-50% of the agreed total compensation after the start of a property search, but before signing the lease.
-80% of the agreed total remuneration after signing the lease. This regulation does not apply if the client can prove that an expense or damage has not occurred or is substantially lower than the above remuneration.
8.Guarantee
The client is obliged to check the provided Relocation Services and to notify helloduesseldorf.com of any defects immediately in writing. The Relocation Services shall be deemed accepted if the client has not complained about the defect within 3 working days after delivery. In the event of notification of a defect, helloduesseldorf.com has 5 working days to remedy the defect. Remedy shall be excluded if the defect is due to false information provided by the client. If the remedy fails twice, the client may reduce the remuneration by this Contract item. The claim for remuneration for the non-defective Relocation Services shall remain in full force and effect.
9.Liability
Liability for other than the services and obligations covered by the subject matter of the Contract (see section 2) does not exist. In particular, helloduesseldorf.com is not liable for services and obligations of third parties who are not their agents or vicarious agents. Liability for the accuracy of information provided by helloduesseldorf.com and provided to the client or the service recipient is excluded. As far as helloduesseldorf.com makes oral translations of documents or information, they are not liable for accuracy. Except for liability for injury to life, limb or health, all contractual and non-contractual liability claims against helloduesseldorf.com are limited to grossly negligent or intentional acts, unless there is a breach of material contractual duties by helloduesseldorf.com. In case of a breach of material contractual duties, the liability shall be limited to the damages typically foreseeable at the time of the conclusion of the Contract. Liability for indirect, in particular financial losses, is excluded even in cases of slightly negligent violation of material contractual duties. Any statutory binding liability remains unaffected by these limitations of liability.
10.Retention and Offsetting Right
The assertion of a right of retention according to Sections 273, 320 German Civil Code (BGB) by the client is excluded. The client can only set off against claims of helloduesseldorf.com with undisputed or legally established claims.
11.Opening hours
The opening hours of helloduesseldorf.com are from Monday to Thursday between 10:00 and 19:00 and on Friday from 10:00 to 16:00.
12.Data Privacy
helloduesseldorf.com will comply with statutory privacy policy carefully. helloduesseldorf.com undertakes not to disclose personal data of the client and / or the service recipient to third parties in a manner other than as required by the Contract without the written consent of the data subject or to use it for their own purposes.
13.Miscellaneous
Agreements, changes or additions deviating from these GTC expressly require the written form. This also applies to the repeal of this formal requirement. Should individual clauses of these GTC be completely or partially invalid, this does not affect the validity of the remaining clauses or the remaining parts of such clauses. A provision with similar economic effectiveness shall replace the ineffective clause, Place of performance and jurisdiction is Düsseldorf. This contract is exclusively subject to the laws of the Federal Republic of Germany.

1. Allgemeines
helloduesseldorf.com bietet Dienstleistungen direkt an den Auftraggeber als Leistungsempfänger oder für die Mitarbeiter des Auftraggebers als Leistungsempfänger in den Bereichen Dolmetschen, Übersetzen, Standort- und Wohnortwechsel, Wohnungssuche, Behördengänge und anderem an („Relocation Services“). Diese Dienstleistungen werden vertraglich näher beschrieben. Die nachfolgenden Allgemeinen Geschäftsbedingungen (AGB) gelten für alle Vertragsverhältnisse mit helloduesseldorf.com ab dem 01.01.2018. Mit Annahme eines oder mehrerer Angebote sowie mit Inanspruchnahme der „Relocation Services“ werden diese AGB anerkannt.
2. Vertragsgegenstand
Vertragsgegenstand sind die vom Auftraggeber nach der im Angebot aufgelisteten und/oder gesonderter Vereinbarung beauftragten Relocation Services mit den hierfür ausdrücklich vereinbarten Preisen und ggf. mit dem für die Erbringung der Relocation Services vereinbarten Zeitrahmen. Vertragsgegenstand sind ausdrücklich nicht Beratungen in Ausländerangelegenheiten sowie Rechts-, Steuer- und Versicherungsberatungen. helloduesseldorf.com wird nicht als Vertreter des Auftraggebers oder dessen Arbeitnehmer tätig bei Rechtsgeschäften, die rechtliche Verpflichtungen, insbesondere Zahlungs- und oder Haftungsverbindlichkeiten auslösen können.
3. Angebot und Zustandekommen des Vertrages
Der Vertrag zwischen helloduesseldorf.com und dem Auftraggeber kommt durch die schriftliche oder mündliche Annahme des Angebotes durch den Auftraggeber zustande. Art, Umfang und Preis des Angebots von helloduesseldorf.com sind bis zur Annahme freibleibend und unverbindlich. Änderungen, Ergänzungen und Aufhebungen des Vertrages bedürfen der Schriftform.
4.Preise und Zahlung der Vergütung
Die Preise für die Relocation Services sind, sofern nichts anderes geregelt ist, in der Liste „Relocation Pakete & Preise“ beschrieben, die Teil des Angebotes ist und diesem anliegt. In den Preisen sind, sofern nichts anderes vereinbart ist, die Telefon- und Telefaxkosten innerhalb Deutschlands sowie die Kosten für den Postverkehr inbegriffen. Gesonderte Auslagen, wie z.B. Benzinkosten, internationale Telekommunikationskosten, Amtsgebühren und Administrationskosten, sind gegen Rechnung gesondert zu zahlen. Alle Preise verstehen sich zzgl. der jeweils zum Zeitpunkt des Vertragsabschlusses gesetzlich gültigen Mehrwertsteuer. Alle Preise gelten für die Ausführung der Relocation Services im Rahmen der für helloduesseldorf.com geltenden Öffnungszeiten (siehe Ziff. 11.). Außerhalb dieser Öffnungszeiten erhöhen sich diese Preise um 50%. Alle Preise sind gesetzmäßig in EURO angegeben.
5.Zahlung der Vergütung
Die Vergütung wird zur Angebotsabgabe auf Basis der aus der Liste „Relocation Pakete & Preise“ gewählten Pauschalpreise kalkuliert. Hiervon sind 50% bei Zustandekommen des Vertrages als Abschlagszahlung fällig. Die restlichen 50% sowie die weitere, nicht pauschal vereinbarte Vergütung sind nach Rechnungsstellung zur Zahlung fällig. Eine Ausnahme hierzu besteht beim Wegzug; hierbei wird der restliche Vergütungsanspruch 5 Werktage vor Übergabe der Wohnung fällig. helloduesseldorf.com wird mit der Ausführung der Relocation Services erst beginnen, wenn die bei Zustandekommen des Vertrages geschuldete Zahlung eingegangen ist. Kommt der Auftraggeber in Zahlungsverzug, so ist helloduesseldorf.com berechtigt, Verzugszinsen in Höhe von 5% über dem Basiszinssatz p.a. zu fordern. helloduesseldorf.com behält sich das Recht vor, ggf. weitergehenden Schadensersatz geltend zu machen. Gerät der Auftragnehmer mit einer Zahlungsverpflichtung in Verzug oder kommt er einer anderen seiner Verpflichtungen nicht nach, so wird die ganze bis zu diesem Datum geschuldete Vergütung ohne weitere Mahnung zur Zahlung fällig. Sämtliche weiteren Auslagen, welche im Zusammenhang mit dem Einzug überfälliger Forderungen durch helloduesseldorf.com entstehen, gehen zulasten des Auftraggebers. Diese Restschuld ist innerhalb von 5 Werktagen ab Rechnungsdatum zu begleichen. Der Vergütungsanspruch von helloduesseldorf.com gegenüber dem Auftraggeber besteht unabhängig von anderen Ansprüchen. Dies gilt insbesondere für Ansprüche, die als Folge eigener Aktivitäten des Auftraggebers oder Leistungsempfängers entstehen. Zusätzlich von helloduesseldorf.com nach Vertragsende erbrachte Leistungen vergütet der Auftraggeber getrennt nach Zeitaufwand und Auslagen oder nach einem vereinbarten Pauschalhonorar. Hierfür erstellt helloduesseldorf.com eine separate Rechnung.
6.Pflichten des Auftraggebers
Der Auftraggeber verpflichtet sich, eine umfassende und effiziente Zusammenarbeit zwischen helloduesseldorf.com und dem Leistungsempfänger zu gewährleisten, so dass helloduesseldorf.com die Relocation Services im vertraglich geschuldeten Umfang und innerhalb der vereinbarten Fristen erbringen kann. Der Auftraggeber verpflichtet sich, alle für die Leistungserbringung durch helloduesseldorf.com notwendigen Informationen, Unterlagen und Dokumente auf eigene Kosten zu beschaffen und helloduesseldorf.com rechtzeitig und vollständig zur Verfügung zu stellen. Der Auftraggeber verpflichtet sich, helloduesseldorf.com ab Vertragsschluss alle sonstigen eigenen oder durch den Leistungsempfänger durchgeführten, im Zusammenhang mit den Relocation Services stehenden Tätigkeiten und Bemühungen bekannt zu geben und mit helloduesseldorf.com ab zustimmen. Der Auftraggeber verpflichtet sich, auf den Leistungsempfänger in der Weise einzuwirken, dass dieser vereinbarte Termine wahrnimmt oder mit angemessenem Vorlauf absagt. Der Auftraggeber verpflichtet sich, die ihm von helloduesseldorf.com zur Verfügung gestellten Informationen und zugänglichgemachten Dokumente vertraulich zu behandeln, nur zur eigenen, auftragsbezogenen Verwendung zu nutzen und diese insbesondere keinem Wettbewerber von helloduesseldorf.com zur Verfügung zu stellen. Eine nicht ausdrücklich gestattete Weitergabe an dritte Personen verpflichtet zum Schadensersatz. Der Auftraggeber verpflichtet sich, helloduesseldorf.com nach den in diesen AGB vereinbarten Bedingungen und in Höhe der geschuldeten Vergütung rechtzeitig zu bezahlen.
7. Vertragsdauer, Kündigung, Vertragsbeendigungskosten
Die Dauer des Vertrages ergibt sich aus dem Angebot. Der Auftraggeber kann den Vertrag jederzeit ohne Einhaltung einer Kündigungsfrist kündigen. helloduesseldorf.com kann den Vertrag nur aus wichtigem Grunde kündigen. Ein zur Kündigung berechtigender wichtiger Grund liegt insbesondere vor, wenn der Auftraggeber seine in Ziff. 6 genannten Pflichten verletzt und dadurch die Durchführung des Auftrages unmöglich gemacht oder wesentlich erschwert wird. Bei jeder vorzeitigen Beendigung des Vertrages kann helloduesseldorf.com eine Vergütung nach Arbeitsfortschritt berechnen. Insbesondere kann helloduesseldorf.com folgende Vergütung verlangen:
-25% der vereinbarten Gesamtvergütung nach Aufnahme Tätigkeit mit dem Leistungs-Empfänger, jedoch vor Beginn einer Objektsuche.
-50% der vereinbarten Gesamtvergütung nach Beginn einer Objektsuche, jedoch vor Unterzeichnung des Mietvertrages.
-80% der vereinbarten Gesamtvergütung nach Unterzeichnung des Mietvertrages. Diese Regelung gilt nicht, wenn der Auftraggeber nachweisen kann, dass ein Aufwand oder Schaden nicht entstanden ist oder wesentlich niedriger ist als die vorstehende Vergütung.
8.Gewährleistung
Der Auftraggeber ist verpflichtet, die erbrachten Relocation Services zu prüfen und etwaige Mängel helloduesseldorf.com unverzüglich schriftlich mitzuteilen. Die Relocation Services gelten als anerkannt, wenn der Auftraggeber nicht 3 Werktage nach Erbringung die Mangelhaftigkeit gerügt hat. Im Falle der Mitteilung eines Mangels hat Relocation Services 5 Werktage Zeit, nachzubessern und dem Mangel abzuhelfen. Die Nachbesserung ist ausgeschlossen, wenn der Mangel auf falsche Angaben oder Informationen des Auftraggebers zurückzuführen ist. Schlägt die Nachbesserung zwei Mal fehl, kann der Auftraggeber die Vergütung um diese Vertragsposition herabsetzen. Der Vergütungsanspruch für die nicht fehlerhaft erbrachten Relocation Services bleibt bestehen.
9.Haftung
Eine Haftung für andere, als die vom Vertragsgegenstand umfassten Leistungen und Verpflichtungen (siehe Ziff. 2) besteht nicht. Insbesondere haftet helloduesseldorf.com nicht für Leistungen und Verpflichtungen Dritter, die nicht ihre Handlungsvertreter oder Erfüllungsgehilfen sind. Eine Haftung für die Richtigkeit von durch helloduesseldorf.com ermittelten und dem Auftraggeber oder dem Leistungsempfänger überlassenen Informationen ist ausgeschlossen. Soweit helloduesseldorf.com mündliche Übersetzungen von Dokumenten oder Informationen vornimmt, haftet sie nicht für deren Richtigkeit. Bis auf die Haftung wegen Verletzung des Lebens, des Körpers oder der Gesundheit sind sämtliche vertraglichen und außervertraglichen Haftungsansprüche gegen helloduesseldorf.com auf grob fahrlässige oder vorsätzliche Handlungen beschränkt, sofern nicht eine Verletzung wesentlicher Vertragspflichten durch helloduesseldorf.com vorliegt. Im Falle der Verletzung wesentlicher Vertragspflichten wird die Haftung auf den bei Vertragsschluss vorhersehbaren, typischerweise entstehenden Schaden beschränkt. Die Haftung für mittelbare, insbesondere Vermögensschäden, ist auch bei Fällen leicht fahrlässiger Verletzung wesentlicher Vertragspflichten ausgeschlossen. Eine gesetzlich zwingende Haftung bleibt von diesen Haftungsbeschränkungen unberührt.
10.Zurückbehaltungs- und Aufrechnungsrecht
Die Geltendmachung eines Zurückbehaltungsrechts gemäß §§ 273, 320 BGB durch den Auftraggeber ist ausgeschlossen. Der Auftraggeber kann gegenüber Forderungen von helloduesseldorf.com nur mit unbestrittenen oder rechtskräftig festgestellten Forderungen aufrechnen.
11.Öffnungszeiten
Die Öffnungszeiten von helloduesseldorf.com sind an Werktagen von Montag bis Donnerstag zwischen 10:00 und
19:00 Uhr und Freitags von 10:00 bis 15:00 Uhr.
12.Datenschutz
helloduesseldorf.com wird den Datenschutz sorgfältig einhalten. helloduesseldorf.com verpflichtet sich, personenbezogene Daten des Auftraggebers und/oder des Leistungsempfängers nicht in anderer als in der vom Vertrag vorgesehenen Weise ohne schriftliches Einverständnis des Betroffenen an Dritte weiterzugeben oder für eigene Zwecke zu verwenden.
13.Sonstige Bestimmungen
Von diesen AGB abweichende Vereinbarungen, Änderungen, Ergänzungen oder Zusätze bedürfen ausdrücklich der Schriftform. Dies gilt auch für die Aufhebung dieses Formerfordernisses. Sollten einzelne Klauseln dieser AGB ganz oder teilweise ungültig sein, so berührt dies die Wirksamkeit der übrigen Klauseln bzw. der übrigen Teile solcher Klauseln nicht. An Stelle der unwirksamen Klausel tritt eine ihr im wirtschaftlichen Erfolg gleichkommende Bestimmung. Erfüllungsort und Gerichtstand ist Düsseldorf. Dieser Vertrag unterliegt ausschließlich dem Recht der Bundesrepublik Deutschland.
